  • Risk of loss and title for physical products pass to you upon our delivery to the carrier.

    • Resell, sublicense, distribute, or otherwise transfer the digital product to any third party.
    • Modify, adapt, reverse engineer, decompile, or disassemble the digital product without explicit written permission from Prokon.
    • Use the digital product for any commercial purpose beyond what is explicitly stated in its product description or an accompanying license agreement.

6. Services (e.g., Mechanical Design, Laser Cutting, Engineering Support)

  • Engagement for our engineering and manufacturing services will be governed by a separate written agreement, quotation, or project proposal issued by Prokon.
  • These service-specific agreements will outline the scope of work, deliverables, timelines, payment terms, intellectual property, confidentiality, and any specific terms related to revisions, cancellations, or refunds for services rendered.
  • These Terms and Conditions generally apply to your interaction with our Website and general business conduct, but the specific terms of any service engagement will override these general Terms where there is a conflict.

7. Limitation of Liability

  • To the fullest extent permitted by law, Prokon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Website or products; (ii) any conduct or content of any third party on the Website; (iii) any content obtained from the Website; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
  • Our total liability for any claim arising out of these Terms or the use of our products or services shall not exceed the amount you paid to Prokon for the product or service in question.

You agree to defend, indemnify, and hold harmless Prokon and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Website, by you or any person using your account and password; b) a breach of these Terms; or c) your interaction with products or services provided by Prokon.
